MSA and SOW templates

Starting points for a master services agreement and statements of work, for your legal team to complete.

Templates are guides only. They must be completed and checked by your legal team before use. This is not legal advice.

What they are

A master services agreement (MSA) sets the legal terms for the whole relationship with a supplier. A statement of work (SOW) describes one specific piece of work under that agreement. You sign the MSA once and add a new SOW for each project, so you don't renegotiate the legal terms every time.

What the MSA template covers

  • Parties, definitions and how SOWs fit under the agreement
  • Term, renewal and notice to end
  • Fees, invoicing and payment terms
  • Service levels and what happens if they are missed
  • Confidentiality and data protection, with a reference to a separate data processing agreement
  • Information security and breach notification
  • Intellectual property
  • Liability and insurance
  • Sub-contracting, audit rights and compliance with laws
  • Exit support, data return and deletion

What the SOW template covers

  • Scope of the work and what is out of scope
  • Deliverables and acceptance criteria
  • Timeline and milestones
  • Fees for this piece of work
  • Named contacts on both sides
  • Assumptions and dependencies

Using them in SupplierVault

  1. Open Templates in SupplierVault and choose the MSA or SOW.
  2. Add your organisation's branding and the supplier's details.
  3. Edit the text, then download it as a document for your legal team to complete and check.
  4. Once signed, record the key dates, such as the term and notice period, on the supplier's record so renewals are tracked.

You can try the templates with example suppliers in the live demo.
